Millicent Labs Limited, registered in England and Wales (Company No. 12618630) with its registered office at 20-22 Wenlock Road, London, N1 7GU ("Millicent", "we", "us", or "our") offers a web-based interface (the "Interface") for engaging with Millicent One, a public blockchain (the "Protocol"). This Interface, along with associated content and features available through https://millicent.io and our other websites (collectively, the "Site"), and related technologies (together with the Interface and the Site, including all current and future features, functionalities, and technologies, our "Services") are subject to these Terms of Service.
2. Acceptance of Terms
By accessing or using any aspect of our Services, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you're acting on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms. If you don't agree to these terms, please refrain from using our Services.
3. Protocol Clarification
It is important to understand that the Protocol itself is not included in our Services.
The Protocol operates via open-source software and smart contracts which, once deployed, function independently of our control. We don't oversee the activities of third parties or users on the Protocol, nor do we hold or control any digital assets on the Protocol unless explicitly stated in a separate written agreement. You acknowledge that we provide no guarantees regarding Millicent One, and any interaction with the Protocol is at your own discretion and risk.
4. Updates to Terms of Service
We may update these Terms of Service periodically. Any changes will be posted on this page, with the "Last Updated" date revised accordingly. Your continued use of our Services after such changes indicates your acceptance of the updated terms.
5. Data Protection and Privacy
Our data practices are outlined in our Privacy Policy, available at https://millicent.gitbook.io/privacy-policy. By using our Services, you consent to the data practices described therein. For EU/UK users, we process personal data in accordance with the General Data Protection Regulation (GDPR) and the UK Data Protection Act 2018.
6. Compliance and Accessibility

We reserve the right to restrict or limit access to our Services for users who are not qualified investors or participants, or who are located in regions where our Services are not permitted under applicable laws and regulations.

This includes volatility in digital asset markets, potential for loss of value, transaction speed and cost fluctuations, and the possibility of encountering fraudulent or misrepresented tokens.
You accept full responsibility for assessing and assuming these risks when interacting with the Interface and the Protocol.
9. Prohibited Conduct
Users of our Services must not engage in or attempt:
a) Violation of intellectual property rights
b) Any form of cyber attack or system interference
c) Fraudulent activities or misrepresentation
d) Market manipulation or insider trading
e) Any unlawful activities
f) Unauthorised data collection or privacy breaches
g) Exploitation of minors
h) Distribution of unsolicited communications or spam

11. Intellectual Property Rights
You explicitly acknowledge and agree that our Services encompass content and features ("Service Content") safeguarded by copyright, patent, trademark, trade secret, and other proprietary rights and laws. Unless explicitly authorised by Millicent(for instance, where portions of the Protocol are made available under an open-source licence), you are strictly prohibited from modifying, copying, framing, scraping, renting, leasing, loaning, selling, distributing, or creating derivative works based on our Services or Service Content, in whole or in part. This prohibition does not apply to your own User Content that you upload or make available through our Services in accordance with these Terms of Service. Any utilisation of our Services or Service Content other than as expressly authorised herein is strictly forbidden.
The Millicent name, logos, and all related names, logos, product and service names, designs, and slogans are trademarks of Millicent or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on our Services are the trademarks of their respective owners.
12. User Content and Licensing
By submitting, posting, or displaying User Content on or through our Services, you grant Millicent and its affiliated entities, successors, and assigns a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable licence to copy, display, upload, perform, distribute, store, modify, and otherwise use your User Content in connection with the operation of the Services or the promotion, advertising or marketing thereof, in any form, medium or technology now known or later developed.
You represent and warrant that you own all rights, title, and interest in and to any User Content you make available through the Services, including all copyrights and rights of publicity contained therein. You are solely responsible for any and all User Content you post, upload, publish, or display through our Services or transmit to other users. You acknowledge and agree that you, and not Millicent, are entirely responsible for all User Content you upload, post, email, transmit, or otherwise make available via our Services.
13. Usage Data and Submissions
You hereby authorise Millicent and its third-party service providers to derive statistical and usage data relating to your use of the Services ("Usage Data"). We may use Usage Data for any purpose in accordance with applicable law and our Privacy Policy.
Any feedback, comments, suggestions, ideas, or other information about the Services ("Submissions") provided by you to Millicent are non-confidential, and Millicent shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
14. Content Preservation and Disclosure
Millicent reserves the right to access, read, preserve, and disclose any information, including User Content, that we reasonably believe is necessary to (a) satisfy any applicable law, regulation, legal process or governmental request, (b) enforce these Terms of Service, including investigation of potential violations hereof, (c) detect, prevent, or otherwise address fraud, security or technical issues, (d) respond to user support requests, or (e) protect the rights, property or safety of Millicent, its users and the public.

Our Services may integrate with or provide access to third-party websites, services, content, and resources ("Third-Party Services"). Your use of such Third-Party Services may be subject to additional terms, conditions, and policies. Millicent does not control and is not responsible for Third-Party Services, including their accuracy, reliability, availability, or privacy practices. We do not endorse or make any representations about Third-Party Services. You are solely responsible for your interactions with Third-Party Services. Millicent shall not be liable for any damage or loss caused or alleged to be caused by or in connection with your enablement, access, or use of any Third-Party Services, or your reliance on the privacy practices, data security processes, or other policies of such Third-Party Services.
16. Indemnification
You agree to defend, indemnify, and hold harmless Millicent, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers (collectively, the "Millicent Parties") from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Services, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms of Service, or your use of any information obtained from the Services.
17. Disclaimer of Warranties
YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. THE SERVICES AND ALL CONTENT AND FUNCTIONALITY AVAILABLE THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER MILLICENT NOR ANY PERSON ASSOCIATED WITH MILLICENT MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MILLICENT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO THEM, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
19. Assumption of Risk
BY ACCESSING AND USING OUR SERVICES, YOU EXPLICITLY REPRESENT AND WARRANT THAT YOU COMPREHEND THE INHERENT RISKS ASSOCIATED WITH UTILISING CRYPTOGRAPHIC AND BLOCKCHAIN-BASED SYSTEMS. YOU AFFIRM THAT YOU POSSESS A WORKING KNOWLEDGE OF THE USAGE AND COMPLEXITIES OF DIGITAL ASSETS, INCLUDING THOSE ADHERING TO BLOCKCHAIN TOKEN STANDARDS AND MECHANISMS FOR BRIDGING ACROSS DIVERSE BLOCKCHAIN SOLUTIONS.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE MARKETS FOR DIGITAL ASSETS ARE HIGHLY VOLATILE DUE TO FACTORS INCLUDING, BUT NOT LIMITED TO, ADOPTION, SPECULATION, TECHNOLOGY, SECURITY, AND REGULATION. YOU ACKNOWLEDGE AND ACCEPT THAT THE COST AND SPEED OF TRANSACTING WITH CRYPTOGRAPHIC AND BLOCKCHAIN-BASED SYSTEMS MAY VARY SUBSTANTIALLY AND MAY INCREASE DRAMATICALLY AT ANY TIME. YOU FURTHER ACKNOWLEDGE AND ACCEPT THE RISK THAT YOUR DIGITAL ASSETS MAY LOSE SOME OR ALL OF THEIR VALUE WHILE THEY ARE SUPPLIED TO THE PROTOCOL THROUGH THE INTERFACE, YOU MAY INCUR LOSSES DUE TO THE FLUCTUATION OF PRICES OF TOKENS IN A TRADING PAIR OR LIQUIDITY POOL, AND YOU MAY EXPERIENCE SIGNIFICANT PRICE SLIPPAGE AND COST.
YOU UNDERSTAND THAT THIRD PARTIES CREATE TOKENS, INCLUDING FAKE VERSIONS OF EXISTING TOKENS AND TOKENS THAT FALSELY CLAIM TO REPRESENT PROJECTS, AND YOU AGREE TO ACCEPT THE RISK THAT YOU MAY MISTAKENLY TRADE THOSE OR OTHER TOKENS. YOU ACKNOWLEDGE THAT WE ARE NOT RESPONSIBLE FOR ANY OF THESE VARIABLES OR RISKS, DO NOT OWN OR CONTROL THE PROTOCOL, AND CANNOT BE HELD LIABLE FOR ANY RESULTING LOSSES THAT YOU EXPERIENCE WHILE ACCESSING OR USING OUR SERVICES. ACCORDINGLY, YOU UNDERSTAND AND AGREE TO ASSUME FULL RESPONSIBILITY FOR ALL OF THE RISKS OF ACCESSING AND USING THE SERVICES AND INTERACTING WITH THE PROTOCOL.
20. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
21. Entire Agreement
These Terms of Service constitute the entire agreement between you and Millicent regarding our Services and supersede any prior agreements.
